    Governance

    Our Purpose

We enable not-for-profit corporations to enhance and improve organizational governance capacities and effectiveness through by-law compliance with ONCA rules regarding director duties, member rights, financial reviews and virtual meetings.

    The Problem We Solve

The Ontario Not-for-Profit Corporations Act (ONCA) came into effect in October of 2021 and set a deadline of October 18, 2026 for corporations to be compliant with their new rules. Many organizations have not completed the process, and are leaving themselves exposed to significant legal and administration risks.

    Positioning (this is our edge)

“We help Ontario membership-based not-for-profits become ONCA-compliant—quickly, confidently, and without overpaying law firms.”

    This framing:

    ● Makes the deadline/risk explicit

    ● Positions us against expensive legal providers

    ● Signals speed + practicality, not theory

    Value proposition

We offer the unique combination of:

    1. deep experience navigating business towards ONCA compliance

    2. senior hands on management that works directly with clients

    3. outstanding value through lower overhead than larger competitors

    4. tailored support for each client, as opposed to a cookie-cutter approach

    Core Offerings

We align Board Policies and Board training on roles, scope, mandate, risk management, governance models, evaluation and best practices, through the following services and support:

    - Training on governance or board risk management (single topic sessions)

    - ONCA best practices counsel and consultation

    - Board Policies review, development and alignment with the organization's by laws and ONCA

    - Board culture assessments

    - Plan development and activation support for ONCA client compliance

    - A full suite of advisory services (financial, legal, regulatory and business) that can be engaged individually or collectively

Bundles for 3 clear entry points:

    1. ONCA Compliance Audit

    ● By-law + governance gap assessment

    ● Risk summary

    ● Action plan This is our lead product. It gets us in the door, enables us to build a trusting relationship, and earns us an opportunity to do more work with them.
